Notice of Organizational Change (Transition from a Limited Liability Company to a Joint-Stock Company)

We have decided to implement an organizational change from a limited liability company (LLC) structure to a joint-stock company (Kabushiki Kaisha) with the aim of achieving sustainable business growth and enhancing corporate value.

This change is based on the following strategic considerations.

First, it is intended to further enhance our corporate credibility and social standing in line with business expansion, effectively achieving a higher corporate tier. By transitioning to a joint-stock company structure, we aim to strengthen our governance framework and improve management transparency, thereby increasing trust among our stakeholders.

Second, it is to facilitate more seamless and strategic collaboration and alliances with companies both in Japan and internationally. By establishing an organizational structure as a joint-stock company, we seek to strengthen our global business foundation and expand partnerships.

Third, it is to promote capital participation from external investors and enable agile and flexible fundraising. By diversifying our capital policy through the issuance of shares, we aim to accelerate growth investments.

Furthermore, building a management foundation with a view toward a future public listing is also one of the key objectives of this organizational change. We will progressively establish the internal controls, disclosure systems, and governance standards required of a listed company, thereby achieving sustainable corporate growth.
